Terms of Service

These Terms govern your purchase and use of CueMachine software (the “Software”) and cuemachine.com (the “Site”), provided by Overstory Music LLC dba CueMachine Technologies (“we,” “us”). By buying, downloading, or using the Software, you agree to these Terms.

Your use of the Software itself is governed by our End User License Agreement, which is presented when you install any of our apps and is available in each app under Help › License Agreement. Where these Terms and that Agreement differ, the Agreement controls as to the Software and these Terms control as to the Site.

License

When you buy a license, we grant you a personal, non-exclusive, non-transferable license to install and use the Software on up to 2 Macs per license. This applies to each product you purchase (CueMachine, and MonitorHUD where sold separately). Volume and facility licensing is available separately. You may not resell, sublicense, rent, or share your license key.

Free trial

We offer a 30-day free trial with full features, no credit card required. At the end of the trial, the app stops functioning until a license is purchased. One trial per user; we may withdraw or change the trial at any time.

Payment & refunds

Prices are one-time purchases in US dollars (USD) and are shown at checkout. Payments are handled by Paddle, our merchant of record, who applies any local taxes. Refund policy: we offer a 14-day money-back guarantee: email us within 14 days of your purchase and we will refund it in full.

Updates

Your purchase includes updates as described on the pricing page (“free updates”). We may change, add, or remove features over time. We are not obligated to maintain compatibility with future macOS versions indefinitely, though we aim to.

Acceptable use

You agree not to reverse-engineer, decompile, circumvent licensing, or use the Software unlawfully — except where you have a right to do so that cannot be waived by contract, or a right granted by the license of an open-source component we include. Those exceptions are set out in section 8.1 of the End User License Agreement.

The Software renames, replaces, converts, and trashes files at your direction, and its detection of silent or empty audio is an estimate rather than a guarantee. Keep independent backups of anything you let it operate on, and review the preview of an operation before applying it.

Intellectual property

We own the Software and all related trademarks and content. You keep full ownership of your own files and any output the Software produces. This license does not transfer any rights in our intellectual property beyond the use granted above.

Third-party trademarks

MonitorHUD is not affiliated with or endorsed by Universal Audio, Inc. “UA,” “Apollo,” and “Console” are trademarks of their respective owners. Other product names are trademarks of their respective owners.

Disclaimer of warranties

The Software is provided “as is,” without warranties of any kind to the fullest extent permitted by law. We do not warrant that it will be error-free or uninterrupted, or that it will meet every delivery specification for your particular workflow.

Limitation of liability

To the fullest extent permitted by law, Overstory Music LLC dba CueMachine Technologies will not be liable for indirect, incidental, or consequential damages, or for lost data, revenue, or profits. Our total liability is limited to the greater of the amount you paid us in the 12 months before the claim and US$50.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded — including liability for death or personal injury caused by negligence, or for fraud.

Your rights as a consumer

If you are a consumer, you may have statutory rights these Terms cannot override — for example under EU or UK consumer law, or the Australian Consumer Law. Nothing here excludes, restricts, or modifies those rights, and the two sections above apply only as far as the law protecting you allows.

Governing law

Before filing any claim, please email info@cuemachine.com and give us 30 days to put it right. Most things are resolved that way.

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state and federal courts located in Los Angeles County, California. If you are a consumer resident somewhere whose law gives you the right to bring proceedings in your local courts, or to the protection of mandatory local consumer law, this section does not take that away.

Changes

We may update these Terms; material changes will be posted here with a new effective date. Continued use after changes means you accept them.
